Terms and Conditions — QB App

1. Background

This document sets out the user terms and conditions, these (“Terms”), for the use of the QB Account and its related services.

These Terms, the Privacy Policy, the Information regarding transfer services and any other applicable terms and conditions, available on the website www.valuno.com, form a legal agreement between you (the account holder) and, depending on your country of domicile:

• For Sweden: QB Europe AB, a company incorporated in Sweden with company registration number 559265-3793 and whose registered office and head office is at Kommendörsgatan 30, 114 48 Stockholm, Sweden.
• For Norway: Balder Solutions AS, a company incorporated in Norway with company registration number 921711425 and having its registered office at Svalestien 27, 1407 Vinterbro, Norway.
• For Poland: Wallet Topup SP.z.o.o, a company incorporated in Poland with company registration number 962387 and having its registered office at 116/52 Piotrkowska Street, zip-code 90-006, City Łódź, Republic of Poland.
• For Lithuania: Algobuy Crypto UAB, a company incorporated in Lithuania with company registration number 305987883, and having its registered office at Zalgirio g. 90-100, Vilnius, Lithuania.

Customers domiciled in any other country than listed above and which is located within the European Union, the European Economic Area, or the United Kingdom, will automatically become a customer of QB Europe AB.

The companies mentioned above are fintech entities within the same corporate group, with Valuno Group AB (publ) as the ultimate parent company. The companies above are registered as virtual currency service providers at the Financial Supervisory Authority in their respective market (listed below) and will hereafter together be referred to as “QB”.

• Sweden: The Swedish Financial Supervisory Authority (Sw. Finansinspektionen).
• Norway: The Norwegian Financial Supervisory Authority (No. Finanstilsynet).
• Poland: The Polish Financial Supervisory Authority (Po. Komisja Nadzoru Finansowego).
• Lithuania: The Lithuanian Financial Supervisory Authority (Li. Lietuvos Bankas Eurosistema).

By applying for a QB Account you expressly represent and warrant that you have accepted these Terms if and when your application is approved by us.

You also represent and warrant that you have received and accepted the “Information Regarding Transfer Services” in a digital format prior to entering into a contractual agreement with us.

Any changes to the information in “Information regarding Transfer Services” will be communicated to you in good time before such changes start to apply.

You are at any time, during our contractual relationship, able to access our “Terms and Conditions” and “Information regarding Transfer Services” in the QB App.

2. Requirements to becoming a customer and Know Your Customer (KYC) information

To become a Customer you must:

• be a natural person,
• at least 18 years of age, and
• living within the European Economic Area.

We will, during the application process, gather information such as name, address, contact details and source of funds for a number of reasons, which includes meeting legal requirements and ensuring your identity.

It is not possible to open more than one (1) QB Account per person or open a new QB Account if your account has been terminated by us previously.

3. QB services and payment services

QB Account — a virtual wallet

Your account is similar to a virtual wallet that enables you to use cryptocurrency in different ways specified in these Terms, through the platform operated by us. You can access your account through the QB App or through www.valuno.com (hereinafter referred to as “QB App”).

Intergiro Payment Services

Due to a wind-down of Intergiro’s operations, Intergiro Payment Services will no longer be available as of the 28th of June 2025.

All QB App customers have been notified that although Intergiro has stated that all QB App customers will be able to withdraw account balances up until the 19th of September 2025, QB urges all QB App customers to withdraw any account balances as soon as possible, as Intergiro cannot warrant accessibility until the 19th of September 2025.

Payment services in general

A purchase transaction made with a Debit/Credit card will be carried out by a payment service provider, a third party. The payment services are governed by the payment service provider’s own Terms and Conditions. QB reserves the right to change payment service provider at any given time.

4. Custody and administration policy

A summarised version of QB Europe AB’s Custody and Administration Policy is available and can be provided to you upon request.

5. Cryptocurrency in the QB App

It is possible to view balance and other information in the QB App as well as managing funds in several ways which currently include the following activities (the “Services”):

• Buy cryptocurrency;
• Swap (exchange) cryptocurrency from one cryptocurrency to another;
• Send cryptocurrency to and receive cryptocurrency from other QB Accounts and non-QB Accounts;
• Hold cryptocurrency; and
• Make recurring purchases of a chosen cryptocurrency, and for a chosen FIAT amount, on a daily, weekly or monthly basis.

Recurring purchase plan. The recurring purchase function within the QB App enables you to set up a plan so that you can make recurring purchases. To set up a recurring purchase plan you need to:

• Choose a cryptocurrency available in the QB App (it is possible to set up one recurring purchase plan for each available cryptocurrency).
• Choose an interval (daily, weekly or monthly) for each recurring purchase plan.
• Choose an amount in FIAT (available in the App) for each recurring purchase plan. The amount has to be the same for each purchase plan, e.g. 500 SEK per day, week or month. We have a limit of minimum one (1) EUR, or the equivalent in any other accepted FIAT currency, per recurring purchase. If a maximum limit applies, this will be displayed in the QB App when a plan is set up.
• Register a credit or debit card for the recurring purchases.

The cryptocurrency price applied for each purchase is determined by the rate applicable at the time when we process the purchase each day. The current cryptocurrency price will be showcased in the QB App daily.

Your recurring purchased cryptocurrency will be stored in the relevant cryptocurrency wallet in your QB Account.

It is possible to cancel an existing recurring purchase plan in the QB App at any time. To change an existing recurring purchase plan, cancel the plan and thereafter set up a new plan with new variables. We will process all scheduled purchases at the same time of the day, once per day. Cancelling an existing recurring purchase plan must be made at least the day before the next scheduled recurring purchase. We have the right to cancel a recurring purchase plan due to a failed transaction (e.g. if your registered card has expired or if your bank account has insufficient funds). We will notify you thereof.

6. Pricing, fees and taxes

You can, in some cases, be charged a service fee when using the Services through the QB App. The service fee differs depending on the service, e.g. buying or exchanging. The current price and fee will always be available in the QB App prior to a transaction.

You are responsible for determining the tax liability with regard to the Services in order to be compliant with the tax regulation in your jurisdiction. We do not provide any tax-related advice or information and will not be responsible for assessing, collecting, reporting, withholding or remitting any taxes on your behalf as a result of a transaction.

7. How do I get information on transactions into and out of my QB Account?

All transactions in and out of your account are visible in the QB App. Notifications can be activated in the QB App as well.

You are responsible for keeping the contact details up to date and informing us as soon as the contact information changes.

8. How can I close my QB Account?

When you inform us that you want to close your account, we will give you the opportunity to withdraw any cryptocurrency we hold for you. In order for you to transfer your cryptocurrency from your QB Account you need to provide a third-party wallet to which your cryptocurrency will be transferred.

When you close your QB Account, the agreement between you and us will consequently be terminated.

9. Restrictions on using the App

It is strictly prohibited to directly or indirectly use the QB App as follows, but not limited to:

• for illegal purposes (such as committing fraud, money laundering, terrorist financing or proliferation financing);
• to send or receive transactions to/from sanctioned countries or persons;
• in a way that we believe might harm our ability to provide the Services;
• to control or use a QB Account that doesn’t belong to you;
• to allow anyone else to have access to or use your QB Account and/or the App.

Any violations of these rules may result in restrictions preventing you from making any transactions to and from your QB Account and, if deemed necessary, we can block your QB Account and access to the QB App without further notice.

10. Transfer funds into my QB Account

You can add cryptocurrency to your QB Account using a debit card or credit card. You can also do this by sending cryptocurrency to your QB Account from an external wallet.

Any transactions will be executed instantly as soon as you have confirmed the transaction order.

Please note that when you are sending cryptocurrency to a wallet, whether it’s a QB Account or a third-party wallet, it’s extremely important that you provide the correct wallet address. It’s not possible to redeem an incorrect transaction order. It is also extremely important that you only send cryptocurrencies that are supported in the QB App since we neither can block such transfers nor return any cryptocurrencies that we do not support.

If you want to add cryptocurrency to your QB Account using a debit card or credit card, we will add the equivalent value of your chosen cryptocurrency to your QB Account upon receiving the card transaction.

We will consider that you gave us your consent and authorised us to execute the transaction, including the debiting of any related fees, once you submit your transaction order in the App.

11. Limits when transferring funds into a QB Account?

When adding funds to your QB Account, we have a limit of minimum one (1) EUR per transaction. More information about limits is found in our FAQs.

12. Transferring funds between QB Accounts

You can send cryptocurrency to, and receive cryptocurrency from, other QB Accounts.

13. QB’s right to delay or refuse a transaction

We must refuse to perform a transaction (including deposits to your recurring purchases), or delay a transaction, in the following circumstances:

• if your instruction does not contain all the necessary information we need to execute the transaction;
• if legal or regulatory requirements prevent us from making the transaction or demand us to carry out further controls;
• if you have violated these Terms in a way that in our assessment justifies us delaying or refusing your transaction;
• if we assess that the processing of your instruction would violate these Terms;
• if a bankruptcy order is issued against you or you’ve entered into an individual voluntary arrangement with your creditors;
• if, even after doing everything reasonably possible, we will not be able to make the transaction on time;
• if a third party prevents us from making the transaction;
• if we have asked you for important information that we reasonably need in order to carry out your transaction and you have not given us that information; or
• if we have frozen, blocked, or suspended your QB Account.

We will not be responsible for any losses you suffer as a result of us delaying or refusing a transaction.

14. When can QB Group block or freeze my QB Account?

We have the right to block or freeze your QB Account, which are temporary actions.

A block means that you cannot access the QB App and your QB Account.

A freeze means that you can access the QB App to view your QB Account information but cannot make any transactions.

We may block or freeze the QB App and your QB Account if, for instance:

• we are concerned about your safety;
• we have reason to believe that it might be used fraudulently;
• we have reason to believe that it might be used without your permission; or
• you do not provide the requested information.

We might also have to block or freeze the QB App and your QB Account to meet our legal obligations.

We will unblock or unfreeze the QB App and your QB Account as soon as the reasons for blocking or freezing your QB Account no longer exist.

Please note that from the time we ask you to provide us with certain information we expect you to provide us with this information immediately but no later than within fourteen (14) days from our written request thereof.

15. When can QB suspend or close my QB Account?

We have a right to suspend or close your QB Account for any reason by giving you two (2) months’ notice.

We also have a right to close or suspend your QB Account and end your access to the QB App immediately, in the following cases:

• if we have good reason to suspect that you are behaving fraudulently;
• if you haven’t given us any information we need, or we have good reason to believe that information you have provided is incorrect or not true;
• if we have asked you for important information we reasonably need and you have not given us that information;
• if you have violated these Terms in a serious or persistent way and you have not put the matter right within a reasonable time of us asking you to;
• if QB has good reason to believe that your use of the QB App is harmful to us;
• if we have good reason to believe that you continuing to use your QB Account could damage our reputation or goodwill;
• if you have been declared bankrupt;
• if you have been declared deceased; or
• if we have to do so under any law, official decision, other regulations or due to court order.

16. Changes to these Terms

We will make changes to these Terms from time to time. For instance:

• if we think it will make them easier to understand or more helpful to you;
• to reflect the way of our business;
• to reflect legal or regulatory requirements that apply to us and our business; or
• because we are changing or introducing new services or products.

Any changes to these Terms, that could affect your use of the QB App and Account, will be notified 1 month in advance in the QB App or by email.

By continuing using the QB App after the 1 month period you are deemed to have accepted the updated Terms. However, you can always terminate the QB App and your QB Account with immediate effect (see the section “How can I close my QB Account?”).

17. If something goes wrong with my QB Account, the QB App or my virtual assets?

We will do as much as reasonably possible to make sure that the Services are not interrupted and that your virtual assets are safeguarded. However, we cannot guarantee that the Services will not be interrupted or that you will not experience any delays etc. We will not be responsible for losses resulting from us failing to meet our obligations for transactions in and out of your QB Account due to:

• a legal or regulatory requirement;
• unforeseeable events beyond our control, which were unavoidable at the time, including but not limited to an event of force majeure;
• criminal or any other illegal actions of third parties resulting in damage to you or any other person;
• the blocking of your QB Account when implementing legal requirements, including those in relation to anti-money laundering and counter-terrorist financing; or
• any reason stated in the section “QB’s right to delay or refuse a transaction”.

We are not responsible to you for any of the following damages, whether direct or indirect, that arise in connection with these Terms:

• loss of savings due to our dependencies on third-party providers;
• loss of income or profit;
• loss of goodwill or damage to your reputation;
• loss of business contracts or opportunities;
• loss of anticipated savings; or
• consequential loss.

18. Liability

18.1 Liability for custody and administration of crypto-assets

Each QB entity is liable for the loss of crypto-assets or the means of access to the crypto-assets, where such loss is directly attributable to that entity. The liability in such cases will be capped at the market value at the time the loss occurred.

However, QB is not liable for any incidents that are not attributable to QB. This includes, but is not limited to, events that occur independently of the services QB provides or its operations, such as:

• Issues inherent to the functioning of the distributed ledger technology or blockchain that we do not control.
• Events caused by factors external to our systems, including force majeure events, unauthorised actions by third parties, or security breaches caused by a client’s negligence.

18.2 Liability for unauthorised or incorrectly executed transfers

Each QB entity is liable for any unauthorised or incorrectly initiated or executed transfers of crypto assets, provided that the incident is attributable to that entity. Such liability shall be limited to the maximum market value of the crypto-assets at the time the incident occurred.

QB shall not be liable for unauthorised or incorrectly executed transfers that result from factors beyond its control, including but not limited to:

• The Customer’s failure to maintain the confidentiality or security of their access credentials.
• Errors or malfunctions inherent to the distributed ledger or blockchain network.

In cases of unauthorised or incorrect transfers, the Customer must notify QB without undue delay upon becoming aware of the issue. Failure to provide timely notice may limit or void QB’s liability.

QB reserves the right to investigate any claims regarding unauthorised or incorrectly executed transfers to determine responsibility and may require the Customer’s cooperation in such investigations.

19. Your responsibility towards us

If you breach these Terms you may be responsible to us for certain losses. In such cases we may, at our discretion, do the following:

• hold you responsible for any losses, including loss of profit, we suffer as a result of your action; and
• hold you responsible for any legal costs that arise as a result of our losses.

20. Communication with us

You can communicate with us through electronic channels, such as email or any mobile and web application we manage. For contact details and information regarding our opening hours, please visit Contact information and opening times.

Any official notices, updates, or messages from us will be considered delivered once sent through these channels.

You are responsible for keeping your contact details with us accurate and up-to-date. We are not responsible for any missed communication caused by outdated or incorrect information.

All communication will be conducted in English or Swedish. We will use email as a general communication channel with you. When sending personal information to us, we recommend that you send the email in an encrypted format due to security reasons.

21. Security

Security systems used by us

We protect your data, including crypto-assets, using robust security systems including industry-standard encryption for data storage and transmission. Access to sensitive information is restricted to authorised personnel and is protected by access controls. Additionally, all systems are monitored in real-time to detect and respond to potential security incidents swiftly.

Security actions taken by us

We have implemented policies and procedures to effectively manage and reduce risks when providing crypto-asset transfer services for our clients. This includes using advanced Information and Communications Technology (ICT) systems and skilled professionals to quickly and efficiently handle any operational issues or cybersecurity threats. Our goal is to deliver a secure, reliable, and robust service to our clients.

22. Authentication system

You must use the authentication system we provide to access your account and complete transactions. This system may include, but is not limited to:

• eID authentication (BankID)
• Document verification
• Passwords
• Two-factor authentication (2FA) via SMS, email, or authenticator apps

You are responsible for keeping your authentication details secure and confidential. Sharing or giving these details to anyone else is strictly prohibited.

Any actions or transactions made using your authenticated access will be treated as authorised by you.

We may update or improve our authentication systems to enhance security. If needed, we will notify you in advance.

23. Complaints

We acknowledge that there may be instances where disagreements arise regarding the Services. Should you wish to submit a complaint, please read more in our FAQ (“How do I make a complaint?”).

24. Permission for us to process your personal information

In order for us to provide the Services we need to collect information about you. The information will be collected from you, our partner Intergiro and third parties. For more information about how we use your personal information, see our Privacy Policy.

We will retain your personal data for the duration of providing the Services to you until you have requested the deletion of your QB Account. Please note that some of your personal data will still be retained after deletion of your QB Account due to legal reasons.

25. Intellectual property

The trademarks, service marks, copyright, intellectual property rights and logos accessible to you in the QB App or otherwise whilst using the Services (“Trademarks”) are the property of us. The software, text, images, graphics, data, prices, trades, charts, graphs, video, and audio used in the QB App belong to us. The Trademarks and materials should not, under any circumstances, be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected or distributed in any form or by any means, whether manual or automated. The use of any such materials outside of the QB App for any other purpose than using the Services is strictly prohibited; any such unauthorised use may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.

26. Risks

The trading of goods and products, real or virtual, as well as virtual currencies involves significant risk. Currency prices can and do fluctuate on any given day and historical increases in value and returns cannot be used as indicators of future developments. Due to such price fluctuations, the value of your assets may increase or decrease at any given moment. You must therefore consider if our Services are suitable for you in the light of your financial circumstances and appetite towards risk.

Recurring purchases may be a way to spread the risk over time. When cryptocurrency prices fall, it makes it possible for you to purchase cryptocurrency cheaper and when the price rises again, the value of your cryptocurrency also increases. However, recurring purchases are not a guarantee for increase in value of your cryptocurrency.

It is also important to remember that, in the event of loss, virtual currencies are neither protected by the governmental investor protection schemes nor deposit guarantee schemes.

Virtual currencies may be subject to large swings in value and may even become worthless. There is an inherent risk that losses will occur as a result of buying, selling, lending or trading anything on a market. Furthermore, online trading platforms themselves may be vulnerable from both a security and technical perspective, for example risk of hacking, which could lead to transactions not being executed and, in the worst case, assets being lost or stolen.

27. No right to withdrawal

Please be aware that the provisions regarding the right to withdrawal of financial services are not applicable on the Services due to fluctuations in the currency market which we cannot influence.

28. Miscellaneous

This agreement is only between you and us. You cannot transfer any rights or obligations under this agreement to any third party without our prior written consent. You however permit us to transfer or assign all of our rights and obligations under these Terms to any third party.

29. Governing law, dispute resolution and consumer rights

Swedish laws govern this agreement unless the law in the country that you reside in has stricter rules.

Any disputes that may arise under these Terms shall be resolved in the courts of the EEA country in which you reside.
